摘 要

近年，我国互联网技术实现了惊人的成长，联合金融行业更是使其爆发了新的光彩。作为发展中国家，我国具有高度的创新和创业精神，越来越多的中小微企业蓬勃发展起来。中小微企业融资难一直是限制企业发展的重要因素，为了解决这一点，股权众筹顺势而生。

由中小微和初创企业作为主要受益者的股权众筹在互联网平台上进行筹资和投资，互利互惠，争取双赢。对于不同的创业思维和项目，匹配不同的运营模式来获取最佳效益。分析股权众筹运营模式发展的障碍并对其研究相应的解决方法也是本文的一大重点。

本文根据文献分析，拟在吸收前人研究成果的基础之上，通过选取经典案例，进行跟踪，理清股权众筹过程中的项目管理流程以及相关的资金安排。为了进一步分析股权众筹，研究股权众筹的具体运营方式，本文以3W咖啡为例进行了深入分析。通过对以上问题的研究，将股权众筹的实践经验上升到理论程度，丰富股权众筹的相关资料，为股权众筹的发展做出贡献。

股权众筹在中国有着广阔的发展空间，中小微企业和初创企业是其最坚实的后盾，而其降低的准入门槛和高风险高收益的特性很适合蒸蒸日上的高新产业。与此同时，在政府的重视下，更加完善的监管体系和更加规范的运营模式促进了股权众筹的稳步发展。

Abstract

In recent years, China"s Internet, mobile Internet has realized leap-forward development.With the combination of financial industry but also make it burst out of the super power. As a highly innovative and entrepreneurial spirit of developing countries, more and more vigorous development of small business, small and medium enterprises. Micro, small and medium enterprises financing difficulties has been the important bottleneck restricting the development of enterprises, in order to solve this problem, all the raise equity arises at the historic moment.

By micro and start-up, small and medium enterprises as the main beneficiaries of the raise in the Internet platform for financing and investment, mutual benefit and reciprocity, strive for win-win. For different entrepreneurial thinking and project, matching different operation mode to obtain the best benefit. Analysis of equity and the raise the barriers in the development of operation mode and research on its corresponding solution method is also a focus of this article.

Based on the literature analysis, proposed the basis of the predecessors" research results, by choosing typical cases, tracking, sorting out its own stake in the project management in the process of raising process and related financial arrangements. In order to further analysis to the public to raise equity, all of the options to raise the concrete operation way, this paper to 3W coffee as an example were in-depth analysis.Based on the research of the above problem, will raise the stakes in the practical experience to rise to theory level, raise the stakes in the related information, contribute to the development of the equity and the raise.

To raise the public equity in China has a broad space for development, small and micro enterprises and start-ups is the most solid backing, and reduce the access threshold and high-risk high return characteristics is suitable for thriving high-tech industry. At the same time, under the attention of the government, regulatory system more perfect and more standardized operation mode promotes the public equity raise the steady development.

第一章 绪论

1.1 研究背景

对于互联网创业者来说，众筹是上天给予的另一场机遇，去年12月三位6岁左右的小孩在北京别墅区用跳舞向小区成员众筹圣诞礼物，两小时就筹到数千元。同样的，近年来，人们用微信朋友圈、微博状态等来众筹资金的现象也屡见不鲜。当然，也有人通过在正式的平台上向社会大众募资做项目的。不过不论失败还是成功，众筹这一筹资模式算是在中国大大刷了一把时髦值。社会各个阶层的人们都在关注这一筹资模式的动态。俗话说，狭路相逢勇者胜，这种赌博式的筹资真是让人又爱又恨。

从2014年到2015年，中国股权众筹平台由原先的32家暴涨至130余家，从某种意义上来讲，中国的股权众筹已经进入了全民众筹时代。我们作为大众投资者，将能够从股票、基金等资本市场之外，获得一种新的投资方式来赢得新的投资红利。
