摘 要

股利政策是公司将净利润在公司和股东之间进行一种分配。通常有四种股利分配政策：剩余股利政策、固定或稳定的股利分配政策、固定股利支付率政策、低正常股利和额外股利政策。四种股利分配政策各有优缺点，企业在各个发展阶段采取不同的股利分配政策，不同的分红政策会受到企业多方面因素的影响。与此同时，一般股利政策包括股利分配、股利支付比率、实际剩余比率与可分配每股盈余四个方面来用于参考。现在公司的股利支付的形式也有很多，其中主要是以现金股利为主。本文先介绍的是股利政策相关的基本理论，整合了股利政策的类型、企业股利政策在不同发展阶段的特点；然后将理论与实际相结合，采用案例分析法，以中山达华智能科技股份有限公司为例，首先简单介绍关于公司的情况；然后根据达华智能近几年的股利分配情况了解达华智能股利政策的现状并分析其影响因素；最后重点分析达华智能股利政策的运用。本文研究的达华智能的股利政策为其他企业制定有效的股利政策提供了一般性的参考价值，并有助于投资者形成正确的投资理念，做出正确的投资决策。

Abstract

Dividend policy is the company"s net profit distribution between the company and the shareholders. Dividend policy generally has four types, namely, the remaining dividend policy, fixed or stable growth dividend policy, the fixed dividend payout policy and the low dividend plus normal dividend policy. The four kinds of dividend policies have their own advantages and disadvantages. Enterprises often adopt different dividend policies during different life stages of development and they also choose different dividend policies depending on the factors of the enterprise itself. At the same time the general dividend policy includes four aspects, respectively, the level of dividend payout ratio, to determine the dividend payment and the ratio of the level of payment to the actual distribution of earnings per share and the distributable surplus ratio Used to indicate. And now the company"s dividend payment in the form of a lot, mainly in cash dividends. This article first introduces the basic theory of dividend policy, integrates the types of dividend policy, and the characteristics of corporate dividend policy at different stages of development; Then combine the theory with practice and use the case analysis method. Take Zhongshan Dahua Intelligent Technology Co., Ltd. as an example, first briefly introduce the situation of the company; then understand Dahua Smart Dividends according to the dividend distribution of Dahua Smart in recent years. The status quo of the policy and analysis of its influencing factors; the final analysis focuses on the use of the Dahua Smart Dividend Policy. The Dahua Intelligence dividend policy studied in this paper provides a general reference value for other companies to formulate an effective dividend policy, and helps investors to form the correct investment philosophy and make correct investment decisions.

第一章　绪 论

1.1 研究背景

股利分配政策是现代企业融资活动的三大核心要素之一。股利分配政策是公司募集资金和投资活动的合理延续，同时，适当的分红政策可以创造良好的公司形象，激发投资者的投资热情，使公司能够获得长期稳定的条件和发展机会。西方的股利政策早制定，而我国的股利政策起步较晚，企业纷纷上市的现象也是在上世纪90年代才开始出现。随着上海证券交易所和深圳证券交易所的分别挂牌营业，标志着我国比较正规的上市公司开始出现。虽然我国的股利政策起步晚，但是发展的很迅速。随着中国资本市场在改革以后逐渐开放，上市公司的增多，股票市场越来越开放，同时随之而来的是越来越多的挑战，这就需要国家出具相应的股利政策来迎接这些挑战。在中国“利润分配政策”一词伴随着中国国有企业改革、交易所的出现、公司法颁布、商业会计准则和公司金融通用原则在20世纪90年代的出现。它首先出现在一些教科书和文献中。在社会发展的背景下，“利润分配政策”这一术语在人们中间越来越受欢迎，并且在人们眼中越来越明显。随着股票市场的迅速建立，中国股利分配理论的研究已成为金融领域的热门话题。因此，在整个社会的大背景下，对公司的股利政策的选择及华为公司在不同发展时期的股利政策的不同进行调查，针对这一调查结果进行分析，具有弥补股利政策存在的问题、完善股利政策制度的意义，可以找出最适合企业的最好的股利政策，使得企业可以在竞争非常激烈的行业内获得很好的发展机会；同时为股利政策的制定提供一般性的参考。

1.2 研究目的

本文以中山达华智能科技股份有限公司为例，关注达华智能的市场股利，了解达华智能股利分配政策的现状以及存在的问题，通过对达华智能股份公司股利分配现状及问题的了解，来分析达华智能公司出现分配问题的成因以及影响因素，并将其很好的运用到达华智能公司的股利政策中；然后根据其达华智能股利政策的运用来提出相应的对策。与此同时，可以让我们更好地了解到达华智能的市场股利及公司的股利制度。本文讨论了这些理论知识对达华智能股份公司的适用性，分析达华智能股利分配政策的内外因素，为公司盈利体系的制定提供一般性参考建议。

1.3 研究内容
