摘 要

我国证券市场的波动性一直很大，企业极易出现财务困境。一旦企业陷入财务困境，将会严重制约其正常经营活动和发展能力，也会对利益相关者的价值产生不利影响。因此，本文以 ST 上市公司为研究对象，深入分析其陷入财务困境的原因，探索如何采取有效措施摆脱财务困境，具有一定的理论与现实意义。

本文首先对国、内外财务困境研究现状进行了简单介绍，其次又对财务困境概念进行界定，并且介绍财务困境相关评价指标。然后对我国ST 上市公司的现状进行了分析，探讨了导致ST上市公司陷入财务困境的内、外部因素原因，提出了相应的治理对策，探讨出了解决ST上市公司财务困境的主要方法。

在案例研究部分，本文选取了ST海润财务报告中的相关数据进行案例分析，通过对其财务能力相关指标的分析，可以得出ST上市公司的财务状况。

The reasons and Countermeasures of financial distress of ST listing Corporation:As the "sea embellish photovoltaic co., LTD." as an example

Abstract

The volatility of China"s securities market has been great, the enterprise is extremely easy to appear financial distress. Once the enterprise into financial distress, will seriously restrict the normal business activities and development ability, to stakeholders adversely affecting the value. Therefore, the ST listed companies as the research object, in-depth analysis of its fall into financial distress, to explore how to take effective measures to get rid of financial distress, has certain theoretical and practical significance.

Firstly the country, internal and external financial distress research status were introduced, followed by the financial distress concept definition, and introduces the financial distress related evaluation index. Then on the ST listed company status analysis, discusses the cause of ST Listed Companies in financial distress in, external factors proposed the corresponding countermeasures, discusses the main methods of solving ST Listed Companies in financial distress.

In case study part, this article selects the ST hyrum financial report the related data of case analysis, through the analysis of related parameters of its financial capacity, ST can be drawn from the financial status of listed companies.

第一章 绪 论

1.1 研究背景及意义

自20世纪90年代初我国的证券市场设立以来规模不断扩大，越来越多的公司借助证券市场实现其快速发展的目标，但是证券市场仍处于剧烈波动阶段。一些公司在刚刚上市的时候，业绩能够有着明显的增长，然而并不能持久下去，不久之后即呈现亏损，从而将会导致其陷入财务困境之中，被戴上ST的帽子，面临暂停上市甚至终止上市的危险。据《证券日报》记者的大概统计，从2015年1月1日到5月24日，有*ST国恒、*ST二重和*ST武锅B等6家上市公司发布终止上市的公告。这中间3家公司是由于持续亏损了4年而终止上市；另外3家公司进行了吸收合并从而终止上市。Wind最新的数据显示，截至2015年5月26日，一共有37只*ST股有着暂停上市的风险，而这些*ST股若是不积极扭亏或者做出对应措施的话，最终也摆脱不了退市的命运。

作为全球经济发展速度较快的国家的国家之一，对于财务困境相关问题尤其不能够忽视。了解ST上市公司财务困境及其相关概述，找出财务困境的形成原因，帮助投资者准确判断上市公司的财务状况，合理控制投资风险，从而促进ST上市公司在证券市场中稳步成长是目前的主要任务。因此，了解ST上市公司财务困境相关问题并提出相应的解决对策对于我国整个经济体的成长意义非凡。
